BELOW IS WHAT THE DOCUMENT CONTAINS

 

HOLD HARMLESS AGREEMENT

___________________________________, (hereinafter “Vendor”) whose address is _____________________________________________________________
zip code__________________ in consideration of being allocated selling space at the Siesta Key Farmers Market agrees as follows:

1) “Vendor” shall indemnify, defend, and hold harmless Bryan Eible, individually, the Siesta Key Farmers Market, LLC, its members, owners, managers, agents, employees, and volunteers, from and against any and all loss, damages, liability, claims, suits, costs, expenses, whatsoever, including reasonable attorney’s fees arising from or in any manner connected to the willful misconduct or negligent acts of the “Vendor”, their agents, and employees, in connection with “Vendor” leasing space in the Siesta Key Farmers Market, the sale of products from said leased space, the compliance with the written agreement between “Vendor” and the Siesta Key Farmers Market, LLC.

2) “Vendor” shall indemnify, defend, and hold harmless Bryan Eible, and his agents, employees, volunteers, from and against any and all loss damages, liability, claims, suits, costs, expenses, whatsoever, including reasonable attorney’s fees arising from or in any manner connected to the willful misconduct or negligent acts of the “Vendor”, their agents, and employees, in connection with “Vendor” leasing space in the Siesta Key Farmers Market, the sale of products from said lease space, the compliance with the written agreement between “Vendor” and Bryan Eible.

3) “Vendor” shall indemnify, defend, and hold harmless DAVIDSON EPES PARTNERSHIP LLP, and its agents, employees, and volunteers, from and against any and all loss, damages, liability, claims, suits, costs, expenses, whatsoever, including reasonable attorney’s fees arising from any manner connected to the willful misconduct or negligent acts of the “Vendor”, their agents,, and employees, in connection with “Vendor” leasing space in the Siesta Key Farmers Market, located at the Davidson Plaza, Ocean Blvd., Siesta Key, Florida, owned by Davidson Epes Partnership, LLP, 1281 S. Tamiami Trail, Sarasota, Florida.
